The Senior Vice President and General Counsel (SVPGC) is a member of the executive leadership team and is responsible for legal, regulatory and compliance matters for Oregon Health Care Association (OHCA). Founded in 1950, the OHCA improves the lives of seniors and people with disabilities by promoting quality long term care in Oregon. A nonprofit, OHCA is the largest long term care trade association in Oregon, representing more than 1,000 organizations and 90 percent of long term care providers in the state.

The SVPGC partners with the executive leadership team on the strategic goals of the association and provides legal advice related to OHCA’s operations, and actively participates in board of directors meetings and association governance. The SVPGC develops and presents educational materials and provides general guidance to OHCA members regarding compliance with state and federal law. The SVPGC engages in advocacy with regulatory authorities, and actively participates in OHCA’s legislative advocacy efforts. This position leads the OHCA Legal Committee, co-leads the OHCA Compliance and Quality Council, and serves as the primary resource for in- home care agency members.

Major job functions include the following:

OHCA General Counsel

  • Review, evaluate and advise on legal matters relevant to business operations including but not limited to risk management, employment law, office policies and office compliance with applicable law and regulations.
  • Provide legal analysis, advice, and develop negotiating strategies for proposals, business opportunities and other matters in which OHCA has an interest.
  • Negotiate, draft, and review contracts and other agreements.
  • Maintain records, advise on non-profit governance matters including supervision of annual member elections and interpretation of OHCA bylaws. Develop and draft any governance related documents and/or bylaws amendments as may be necessary.
  • Direct, manage and coordinate use of outside counsel.
  • Monitor and maintain knowledge of current trends in relevant areas of law and pursue ongoing professional development to provide leadership and modeling of industry best practices.
  • Provide legal support for OHCA’s Political Action Committee(s).
  • Provide Oregon Care Partners, a partner organization, with legal support and serving as the registered agent.

Regulatory Compliance

  • Maintain expertise in state and federal law impacting OHCA and its members, with an emphasis on laws governing long term care operations.
  • Research and develop member guidance on compliance with state and federal regulations.
  • Provide expertise and outreach on member payment and reimbursement issues.
  • Collaborate with OHCA SVP for Quality Services in providing general guidance and compliance technical support to members.
  • Lead OHCA response to agency rulemaking in collaboration with OHCA SVP for Quality Services, including but not limited to evaluating proposed rules, providing OHCA response, drafting rules for consideration.
  • Develop and maintain relationships that foster good communications and regular interactions with Department of Human Services and Oregon Health Authority staff regarding ongoing, emerging regulatory/compliance issues.
  • Lead and direct activities of OHCA Legal Committee.
  • Collaborate with OHCA SVP for Quality Services to staff OHCA Compliance and Quality Council.

Legislative

  • Serve on OHCA’s government relations team.
  • Perform legal and policy review of proposed legislation.
  • Participate in development of OHCA legislative strategy.
  • Draft proposed legislation and amendments.
  • Represent OHCA in workgroups/meetings to develop and respond to proposed legislation. Testify before legislative committees, as necessary.

In-Home Care Member Support

  • Provide general guidance and compliance technical support to OHCA in-home care agency members.
  • Lead and direct In-Home Care Priority Workgroup and the In-Home Care Committee.
  • Develop and present educational content for in-home care committee meetings and annual conference.

Education and/or Experience

  • Doctor of Jurisprudence degree and Oregon State Bar licensure
  • At least five years’ experience in the practice of law
  • Demonstrated knowledge of public sector, administrative and regulatory law
  • Demonstrated ability to learn business requirements, analyze legal risk, and propose appropriate solutions at a pace consistent with the organizations and OHCA’s members needs
  • Knowledge related to laws affecting businesses, including employment, insurance, corporate compliance, contract drafting and business law
  • Experience working with a board of directors and/or organizational governance committee

The following is preferred:

  • Experience with state government and the legislative process, including legislative analysis and drafting.
  • Experience in health care regulation and compliance, optimally including long term care.
  • Prior in-house counsel experience, or working for or with a membership association or similar not for profit organization.

The OHCA team currently works remotely part of the work week. Extra safety precautions are being taken including enhanced cleaning of commonly touched surface and mask requirements for visitors. All current team members are vaccinated.
